3. Services Description

CPaaS provides Communication Platform as a Service, including but not limited to:

• SMS API for sending and receiving text messages
• Voice API for making and receiving phone calls
• Email API for sending transactional and marketing emails
• WhatsApp Business API for messaging
• RCS Messaging services
• Authentication and verification services (OTP, 2FA)

We reserve the right to modify, suspend, or discontinue any service at any time with reasonable notice.

4. Acceptable Use Policy

You agree NOT to use our services to:

• Send spam, unsolicited messages, or bulk communications without consent
• Transmit illegal, harmful, threatening, abusive, or defamatory content
• Violate any applicable laws, regulations, or third-party rights
• Engage in phishing, fraud, or deceptive practices
• Distribute malware, viruses, or malicious code
• Harass, threaten, or harm individuals or groups
• Impersonate others or misrepresent your identity
• Interfere with or disrupt our services or servers
• Attempt unauthorized access to our systems
• Resell our services without explicit permission

5. Pricing and Payment

5.1 Fees

• Pricing is based on usage as published on our website
• Fees are subject to change with 30 days' notice
• All prices are in USD unless otherwise stated
• Volume discounts may be available for high-usage customers

5.2 Payment Terms

• Payment must be made via approved payment methods
• Prepaid accounts must maintain a positive balance
• Invoices are due within 30 days unless otherwise agreed
• Late payments may incur additional fees
• We may suspend services for non-payment

5.3 Taxes

You are responsible for all applicable taxes, duties, and governmental charges. We will add applicable taxes to your invoice where required by law.

6. API Usage and Rate Limits

• API rate limits apply based on your account tier
• Exceeding rate limits may result in temporary throttling
• You must implement proper error handling and retry logic
• API keys are for your use only and must not be shared
• We may monitor API usage for security and performance

7. Service Level Agreement (SLA)

7.1 Uptime Guarantee

We guarantee 99.9% uptime for our core services, calculated monthly. Scheduled maintenance windows are excluded from uptime calculations.

7.2 SLA Credits

If we fail to meet our uptime commitment:

• 99.0% - 99.9% uptime: 10% service credit
• 95.0% - 99.0% uptime: 25% service credit
• Below 95% uptime: 50% service credit

Credits must be requested within 30 days and apply to future services only.

8. Data Privacy and Security

• We process data in accordance with our Privacy Policy
• You retain ownership of your data and content
• We implement industry-standard security measures
• You must comply with data protection laws (GDPR, CCPA, etc.)
• We are not responsible for data you transmit through our services

9. Intellectual Property

9.1 Our Rights

CPaaS and its services, including all software, APIs, documentation, and trademarks, are owned by WMart.in. These Terms do not grant you ownership rights.

9.2 License Grant

We grant you a limited, non-exclusive, non-transferable license to access and use our services in accordance with these Terms.

9.3 Your Content

You retain all rights to content you transmit through our services. By using our services, you grant us a license to process, store, and transmit your content as necessary to provide the services.

10. Compliance and Regulations

You must comply with all applicable laws and regulations, including:

• Telephone Consumer Protection Act (TCPA)
• CAN-SPAM Act
• General Data Protection Regulation (GDPR)
• California Consumer Privacy Act (CCPA)
• Health Insurance Portability and Accountability Act (HIPAA) where applicable
• Telecommunications regulations in your jurisdiction

11. Warranties and Disclaimers

11.1 Service "As Is"

Our services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

11.2 No Guarantee

We do not guarantee that:

• Services will be uninterrupted or error-free
• All messages will be delivered successfully
• Services will meet your specific requirements
• Results obtained will be accurate or reliable

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• CPaaS shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim
• We are not liable for service interruptions, data loss, or third-party actions
• You agree to indemnify us against claims arising from your use of the services

13. Indemnification

You agree to indemnify, defend, and hold harmless CPaaS, WMart.in, and our affiliates from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:

• Your use or misuse of our services
• Violation of these Terms
• Violation of any laws or third-party rights
• Content you transmit through our services

14. Termination

14.1 By You

You may terminate your account at any time by contacting support. You remain responsible for charges incurred before termination.

14.2 By Us

We may suspend or terminate your account if:

• You violate these Terms
• Your account is inactive for an extended period
• We are required by law to do so
• Continued service would cause harm or legal liability

14.3 Effect of Termination

Upon termination:

• Your access to services will be revoked
• Outstanding charges remain due
• We may delete your data after a reasonable period
• Provisions that should survive termination will remain in effect

15. Modifications to Terms

We may update these Terms at any time. We will notify you of significant changes by:

• Email notification to your registered address

• In-app notifications

Continued use of services after changes constitutes acceptance of the modified Terms.

• Force Majeure: We are not liable for delays caused by circumstances beyond our control
